Terms of Service
These Terms of Service (“Terms”) form an agreement between you or the organization you represent (“you”) and Gramick House (“we”), the provider of the AgenticOS platform (the “Service”). By signing up, accessing, or using the Service, you confirm that you have read, understood, and agree to these Terms, together with the referenced Privacy Policy and Cancellation/Refund Policy. If you sign up on behalf of an organization, you represent that you have authority to bind it.
1.Definitions & acceptance
“Account” means the workspace created to use the Service. “User content” means the data, messages, files, and conversations you or your customers enter into the system. If you do not accept these Terms, please do not use the Service.
2.Eligibility
You must be at least 20 years old or a duly registered legal entity with the legal capacity to enter into a contract. Registration information must be truthful and current.
3.Account & security
You are responsible for keeping your passwords and credentials confidential and for all activity under your account and the users you invite. Notify us immediately of any unauthorized access.
4.License to use
We grant you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes while your account is active and fees are paid in full.
5.Acceptable use
Do not use the Service unlawfully, or to send spam, deceptive messages, infringing content, malware, or unlawful content. Do not attempt to breach, reverse-engineer, overload beyond normal use in a way that affects others, or evade usage metering. We may suspend violating accounts immediately.
6.Content & data ownership
User content remains yours. You grant us the rights needed to process, store, and transmit it to provide the Service. You warrant that you have the rights to the content you enter and that its use complies with applicable law, including Thailand's Personal Data Protection Act (PDPA).
7.AI service & output limits
The Service uses AI models to assist with replies and processing. Output is automated assistance and may be inaccurate or incomplete. Verify before relying on it for important decisions; you are responsible for how you use the output.
8.Fees, tax & payment
Fees follow your chosen plan. Displayed prices exclude VAT (7%), which is added at payment. Usage beyond quota is charged at the published overage rates. Billing, renewal, cancellation, and refunds follow the Cancellation/Refund Policy published on the website.
9.Renewal, cancellation & suspension
Renewal is notify-to-pay (no automatic charge). Downgrades/cancellations take effect at the end of the current billing cycle. We may suspend or terminate the Service for overdue payment beyond the grace period or for material breach of these Terms.
10.Intellectual property
The platform, software, trademarks, and all elements of the Service are owned by us or our licensors. These Terms do not transfer any intellectual property ownership to you.
11.Third-party services
The Service relies on external providers such as the payment gateway, AI model providers, cloud/storage, and telephony. Related use may be subject to those providers' terms. We are not responsible for third-party services outside our control.
12.Warranties & limitation of liability
The Service is provided as-is. We strive for reliability but do not warrant that it will be error-free or uninterrupted. To the extent permitted by law, our total liability shall not exceed the fees you actually paid in the 3 months before the event, and we are not liable for indirect damages or lost profits.
13.Indemnification
You agree to indemnify and hold us harmless from claims or damages arising from your use of the Service in breach of these Terms, applicable law, or third-party rights.
14.Changes to the service & terms
We may improve the Service or amend these Terms from time to time, with advance notice by email or in-product. Continued use after changes constitutes acceptance of the updated Terms.
15.Governing law & disputes
These Terms are governed by the laws of Thailand. Disputes that cannot be resolved amicably shall be subject to the jurisdiction of the Thai courts.
